These Terms and Conditions (“Terms”) govern the use of the website and services provided by:

Hereinafter referred to as “Source Bridge”, “we”, “us” or “our”.
1. Scope
These Terms apply to business relationships between Source Bridge and its business customers in connection with sourcing, procurement support, supplier identification, supplier qualification, distributor identification, market-entry support, business matchmaking and related advisory services.
Our services are intended primarily for businesses, entrepreneurs and other commercial organisations (“Clients”).
Unless expressly agreed otherwise in writing, these Terms apply to all services provided by Source Bridge.
2. Our Services
Source Bridge provides international sourcing, procurement-support and market-access services.
Depending on the individual engagement, our services may include:
- identification and preliminary assessment of manufacturers and suppliers;
- supplier searches based on Client requirements, specifications or drawings;
- collection and coordination of quotations and Requests for Quotation (RFQs);
- facilitation of communication between buyers and suppliers;
- support with supplier qualification and documentation;
- coordination of samples, prototypes and technical discussions;
- support during commercial negotiations;
- identification of distributors, sales partners and potential business partners;
- market-entry and business-development support;
- coordination between international manufacturers, suppliers, buyers and distributors; and
- other sourcing, procurement and advisory services agreed with the Client.
The precise scope, deliverables, fees and responsibilities applicable to an engagement may be defined separately in a quotation, proposal, statement of work, service agreement or other written agreement.
3. Independent Intermediary
Unless expressly agreed otherwise in writing, Source Bridge acts as an independent sourcing, procurement-support and business-development service provider.
Source Bridge is not the manufacturer, seller, importer, exporter or distributor of products supplied by third parties merely because Source Bridge has identified, introduced or facilitated communication with such third parties.
A commercial relationship between a Client and a supplier, manufacturer, distributor or other third party does not automatically make Source Bridge a party to the resulting purchase, supply or distribution contract.
Where Source Bridge itself acts as a seller, purchaser, importer, exporter, commercial agent or distributor, the applicable contractual arrangement will be expressly identified separately.
4. Supplier Identification and Qualification
Source Bridge aims to identify suppliers and business partners that correspond to the requirements communicated by the Client.
Supplier qualification may include, depending on the agreed scope, review of company information, manufacturing capabilities, machinery, certifications, quality-management information, references, documentation and other available information.
However, unless expressly guaranteed in writing, supplier identification, screening or qualification by Source Bridge does not constitute a guarantee of a supplier's future performance, financial condition, product quality, production capacity, regulatory compliance, delivery performance or contractual obligations.
Clients remain responsible for their final supplier-selection and purchasing decisions.
5. Technical Requirements and Specifications
The Client is responsible for providing complete and accurate technical requirements, drawings, specifications, standards, quantities, materials, tolerances, certification requirements and other information necessary for sourcing activities.
Source Bridge may communicate and coordinate such requirements with potential suppliers but does not independently assume responsibility for engineering design, product validation or technical approval unless expressly agreed in writing.
The Client is responsible for approving final technical specifications, samples, prototypes and production parts before serial production or commercial purchase.
6. Quotations and Commercial Information
Prices, lead times, production capacities, minimum order quantities, tooling costs, transportation costs and other commercial information obtained from suppliers are generally based on information provided by those suppliers.
Unless Source Bridge expressly issues the quotation in its own name as the contracting seller, supplier quotations are subject to confirmation by the relevant supplier.
Exchange-rate movements, raw-material prices, freight costs, duties, taxes and other external factors may affect final pricing.
7. Third-Party Contracts
Contracts entered into between Clients and manufacturers, suppliers, distributors, logistics providers, inspection companies or other third parties are generally contracts between those respective parties.
Source Bridge is not responsible for the performance of such third-party contracts unless Source Bridge expressly assumes such responsibility in a separate written agreement.
Clients should independently review contractual terms concerning payment, warranties, delivery, inspection, intellectual property, product liability, confidentiality, governing law and dispute resolution before entering into third-party contracts.
8. Fees and Payment
Fees for Source Bridge services will be agreed separately with the Client.
Depending on the engagement, fees may consist of:
- fixed project fees;
- sourcing or consulting fees;
- hourly or daily rates;
- success fees or commissions;
- retainers;
- supplier-development fees;
- market-entry or distributor-search fees; or
- another agreed remuneration model.
Unless otherwise agreed, applicable taxes, travel expenses, third-party inspection costs, logistics expenses and other external costs are charged separately.
Invoices shall be payable within the payment period stated on the relevant invoice.
9. Confidentiality
Source Bridge will treat confidential commercial and technical information received from Clients with appropriate confidentiality.
Where necessary, separate Non-Disclosure Agreements (“NDAs”) may be concluded between Source Bridge, the Client and/or prospective suppliers or business partners.
Clients should clearly identify information that is particularly confidential or commercially sensitive before providing it for circulation to third parties.
10. Intellectual Property and Technical Documentation
Drawings, CAD files, specifications, designs, trademarks, documentation and other intellectual property supplied by a Client remain the property of the respective Client or rights holder.
Source Bridge will use such information only to the extent reasonably necessary for providing the agreed services.
The Client is responsible for ensuring that it has the necessary rights to provide technical documentation or other protected material to Source Bridge and to authorise its transmission to prospective suppliers or business partners.
11. Compliance
Clients and business partners are expected to comply with applicable laws and regulations, including applicable trade, customs, export-control, sanctions, anti-bribery, anti-corruption and competition laws.
Source Bridge reserves the right to refuse or discontinue an engagement where there are reasonable concerns regarding legal or regulatory compliance.
12. Quality, Inspection and Acceptance
Where products are manufactured by third-party suppliers, responsibility for manufacturing quality remains subject to the contractual relationship between the purchaser and the relevant supplier.
Source Bridge may coordinate quality documentation, inspections or third-party testing where agreed.
Such coordination does not constitute an independent guarantee by Source Bridge that products are defect-free or suitable for a particular application.
Clients remain responsible for final product acceptance unless otherwise expressly agreed.
13. Logistics, Customs and Import/Export
Source Bridge may assist with coordination of logistics, shipping, customs documentation or import/export processes where included in the agreed scope.
Unless expressly agreed otherwise, Source Bridge does not act as importer of record, exporter of record, customs representative or freight carrier.
The parties responsible for import, export, customs clearance, duties, taxes, product compliance and transportation shall be determined in the relevant transaction and contractual documentation.
14. Website Information
Information presented on the Source Bridge website is provided for general business-information purposes.
While reasonable efforts are made to keep information accurate and current, Source Bridge does not warrant that all website information is complete, current or error-free.
Information appearing on the website does not constitute a binding quotation or contractual offer unless expressly identified as such.
15. External Links
The website may contain links to third-party websites.
Source Bridge has no control over the content or availability of external websites and is not responsible for third-party content merely because a link is provided.
16. Liability
Source Bridge shall be liable without limitation where liability is mandatory under applicable law, particularly in cases of intent, gross negligence and injury to life, body or health.
For other forms of liability, the limitations permitted under applicable German law and the relevant individual contractual agreement shall apply.
In particular, where Source Bridge acts solely as an intermediary or sourcing-support provider, Source Bridge does not assume the contractual obligations of independently contracted manufacturers, suppliers, distributors, logistics providers or other third parties.
Nothing in these Terms excludes or limits liability where such exclusion or limitation would be prohibited by applicable law.
17. Force Majeure
Source Bridge shall not be responsible for delays or failure to perform caused by circumstances outside its reasonable control, including natural disasters, war, governmental restrictions, strikes, transport disruptions, supply-chain disruptions, epidemics, cyber incidents or similar events.
The affected party shall endeavour to minimise the consequences of such circumstances where reasonably possible.
18. Data Protection
Personal data is processed in accordance with applicable data-protection laws, including the General Data Protection Regulation (GDPR/DSGVO).

19. Changes to These Terms
Source Bridge may amend these website Terms where necessary to reflect changes in its services, business model or applicable legal requirements.
The version applicable to a specific contractual engagement will be determined by the relevant agreement and applicable law.
20. Governing Law and Jurisdiction
These Terms and the business relationships governed by them are subject to the laws of the Federal Republic of Germany, excluding conflict-of-law provisions to the extent legally permissible.
Where legally permissible and where the Client is a merchant (Kaufmann), legal entity under public law or special fund under public law, the agreed place of jurisdiction shall be Hannover, Germany.
